Terms of Service

These Terms govern your use of undercue. They're written in plain English so you actually know what you're agreeing to.

1. Agreement

By creating an account or using undercue (the "Service"), you agree to these Terms. If you're using the Service on behalf of a company, you confirm you have authority to bind that company.

2. What the Service is

The Service lets you connect social-media accounts (currently Facebook Pages), compose posts, schedule them for future publication, and view their status. We provide the Service "as is". We're a tool — you remain solely responsible for what you publish.

3. Your account

  • You must be 16 or older. You must provide accurate signup information.
  • You're responsible for safeguarding your password. Don't share it. Use a unique one.
  • You're responsible for activity that happens under your account, including by team members you invite.
  • Notify us immediately at hello@undercue.io if you suspect unauthorized access.

4. Subscriptions and payment

  • Paid plans renew automatically on the same cadence (monthly or annual) until you cancel.
  • You can cancel any time from /account. Cancellation takes effect at the end of the current billing period — no refunds for the remainder of that period.
  • If a charge fails, we'll retry up to 4 times over 21 days. Persistent failure downgrades the account to the free tier.
  • Prices can change for new subscriptions. Existing paid subscribers are grandfathered at the price they signed up at, for as long as their plan stays active.
  • The migration offer (50% off annual) is one-per-account, requires proof of a paid competitor subscription within 90 days, and cannot be combined with other promos.

5. Plan limits

Each plan includes a fixed number of connected social accounts, team members, and workspaces. If you exceed a limit, the Service will block the next add. Upgrade to lift the cap — no overage billing.

6. Acceptable use

You agree not to use the Service to:

  • Post content that's illegal, defamatory, infringing, harassing, or hateful.
  • Distribute malware, phishing, or unsolicited bulk content (spam).
  • Impersonate any person or organisation.
  • Circumvent platform rate-limits or abuse the social networks we integrate with.
  • Reverse-engineer, scrape, or use the Service to build a competing product.
  • Resell the Service or sub-license it without our written permission.

We reserve the right to suspend or terminate accounts that violate these rules. We'll usually email first; egregious violations get terminated immediately.

7. Third-party platforms

The Service interacts with Meta (Facebook) and, in future, other platforms. Their terms of service apply to your use of those platforms. We are not responsible for changes those platforms make to their APIs, rate limits, or content policies.

8. Your content

You own the posts you create. You grant undercue a limited, non-exclusive license to store, process, and transmit your content solely to provide the Service (i.e. to publish your posts on the platforms you connected). We don't claim ownership and we don't use your content to train models.

9. Intellectual property

The Service itself — the code, design, branding, and documentation — is © undercue and protected by copyright and trademark law. We grant you a non-exclusive, non-transferable license to use the Service while your subscription is active.

10. Service availability

We target 99.5% uptime, measured monthly. Scheduled maintenance is announced at least 48 hours in advance and conducted during low-traffic windows. We don't offer SLA credits on lower-tier plans; Enterprise contracts can include them — email us.

11. Termination

  • You can terminate any time by cancelling your subscription and deleting your account from /account.
  • We can terminate for material breach (acceptable-use violation, non-payment after retries, fraud) with notice except in egregious cases.
  • On termination, we retain your data for 30 days (in case you change your mind), then permanently delete it. Backups roll off within a further 60 days.

12. Disclaimers

The Service is provided "as is" and "as available". We don't warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. We don't guarantee that posts will publish on time if the upstream platform is down or rate-limits us; we'll always retry and notify you.

13. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of these Terms or the Service is capped at the amount you paid us in the 12 months preceding the claim. We're not liable for indirect, incidental, or consequential damages (including lost profits, lost data, or business interruption).

14. Indemnity

You agree to indemnify undercue against claims arising from (a) your use of the Service, (b) your content, or (c) your violation of these Terms.

15. Changes to these Terms

If we materially change these Terms, we'll email all active users 30 days before the change takes effect. If you keep using the Service after the effective date, you accept the new Terms. If you don't, you can cancel and we'll prorate-refund the remainder of an annual subscription.

16. Governing law

These Terms are governed by the laws of New South Wales, Australia. Disputes are resolved in the courts of New South Wales unless you're an EU consumer, in which case your local consumer-protection laws apply.
